Terms of Participation

1. Overview

These Terms of Participation ("Terms") govern the relationship between Joswells LLC ("Joswells," "we," "us") and individuals who apply for or participate in the Business Representative program ("Participant," "you"). By submitting an application, you acknowledge that you have read and agree to these Terms.

2. Eligibility

To qualify for the Business Representative program, you must:

• Be a legal U.S. resident aged 18 or older
• Hold a valid U.S. government-issued photo identification
• Have a U.S. residential address (P.O. Boxes are not accepted)
• Possess a Social Security Number for identity verification
• Maintain a credit score of 650 or above
• Be able to pass a standard background check

3. Nature of the Role

As a Business Representative, you serve as the authorized registered representative on an LLC formed and managed by Joswells. A vetted ecommerce business uses this entity for U.S. payment processing. Your role is limited to:

• Providing your verified identity for LLC registration and business bank account opening
• Reviewing and signing documents related to the entity
• Responding to periodic compliance check-ins (estimated under 2 hours per month)
• Keeping your personal information current

You do not manage, control, or make decisions regarding the ecommerce business's operations, transactions, or finances.

4. Compensation

Active Participants in good standing receive $700 per month, deposited on the first business day of each month. Compensation is classified as independent contractor income. Joswells will collect a W-9 at onboarding and issue a 1099-NEC at the end of each tax year. You are responsible for reporting this income and paying applicable taxes.

5. Indemnification

Every ecommerce business that operates through the Joswells framework signs an indemnification agreement and personal guarantee. This agreement holds the ecommerce business — not the Participant — financially responsible for chargebacks, refunds, processor penalties, and any losses arising from their business activity. A copy of this indemnification agreement is provided to you for review before your participation begins.

6. Document Review

No LLC filing, bank account opening, or legal document is executed without your prior review and signature. You have the right to consult an independent attorney before signing any document. Joswells will provide reasonable time for review before any filing deadline.

7. Withdrawal

You may withdraw from the program at any time by providing written notice to Joswells. Upon withdrawal:

• Joswells will initiate the process of closing the LLC and associated bank account
• Final compensation will be prorated through the date of withdrawal
• The closure process typically takes 30-60 days depending on the state of registration
• You will receive documentation confirming the entity has been dissolved

8. Participant Obligations

As a Participant, you agree to:

• Provide truthful and accurate information during application and onboarding
• Promptly notify Joswells of any changes to your personal information (address, name, contact details)
• Respond to compliance check-ins within a reasonable timeframe
• Refrain from independently using the LLC or bank account for personal or other business purposes
• Not represent yourself as an owner, operator, or decision-maker of the ecommerce business

9. Termination by Joswells

Joswells may terminate your participation if:

• You provided false or misleading information during application or onboarding
• You fail to respond to compliance check-ins for 30 or more consecutive days
• You misuse the LLC or bank account in violation of your participation agreement
• Continued participation would create a legal or regulatory risk

In the event of termination, Joswells will provide written notice and initiate entity closure. Compensation ceases on the effective date of termination.

10. No Employment Relationship

Participation in this program does not create an employer-employee relationship. You are an independent contractor. Joswells does not provide employee benefits, withhold payroll taxes, or offer workers' compensation coverage.

11. Limitation of Liability

Joswells' total liability to any Participant under these Terms shall not exceed the total compensation paid to that Participant during the 12 months preceding any claim. Joswells is not liable for indirect, incidental, or consequential damages.

12. Governing Law

These Terms are governed by and construed under the laws of the State of Wyoming. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Amendments

Joswells reserves the right to modify these Terms. Material changes will be communicated to active Participants via email at least 30 days before taking effect. Continued participation after the effective date constitutes acceptance of the revised Terms.
