These Terms of Participation ("Terms") govern the relationship between Joswells LLC ("Joswells," "we," "us") and individuals who apply for or participate in the Business Representative program ("Participant," "you"). By submitting an application, you acknowledge that you have read and agree to these Terms.

As a Business Representative, you serve as the authorized registered representative on an LLC formed and managed by Joswells. A vetted ecommerce business uses this entity for U.S. payment processing. Your role is limited to:
You do not manage, control, or make decisions regarding the ecommerce business's operations, transactions, or finances.
Active Participants in good standing receive $700 per month, deposited on the first business day of each month. Compensation is classified as independent contractor income. Joswells will collect a W-9 at onboarding and issue a 1099-NEC at the end of each tax year. You are responsible for reporting this income and paying applicable taxes.
Every ecommerce business that operates through the Joswells framework signs an indemnification agreement and personal guarantee. This agreement holds the ecommerce business — not the Participant — financially responsible for chargebacks, refunds, processor penalties, and any losses arising from their business activity. A copy of this indemnification agreement is provided to you for review before your participation begins.
No LLC filing, bank account opening, or legal document is executed without your prior review and signature. You have the right to consult an independent attorney before signing any document. Joswells will provide reasonable time for review before any filing deadline.
You may withdraw from the program at any time by providing written notice to Joswells. Upon withdrawal:

In the event of termination, Joswells will provide written notice and initiate entity closure. Compensation ceases on the effective date of termination.
Participation in this program does not create an employer-employee relationship. You are an independent contractor. Joswells does not provide employee benefits, withhold payroll taxes, or offer workers' compensation coverage.
Joswells' total liability to any Participant under these Terms shall not exceed the total compensation paid to that Participant during the 12 months preceding any claim. Joswells is not liable for indirect, incidental, or consequential damages.
These Terms are governed by and construed under the laws of the State of Wyoming. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Joswells reserves the right to modify these Terms. Material changes will be communicated to active Participants via email at least 30 days before taking effect. Continued participation after the effective date constitutes acceptance of the revised Terms.
